These Terms of Use (“Terms”) govern your access to and use of Wound Dock™ (the “Platform” or “Services”), which is operated by Ice Cold Medical LLC, a Wyoming limited liability company. For purposes of these Terms, references to “Wound Dock™,” the “Platform,” or the “Services” include all services, content, and functionality provided by Ice Cold Medical LLC through the Wound Dock™ website and related applications.

1. Purpose and Acceptance

Wound Dock™ is a software platform connecting patients with healthcare providers who specialize in wound care. These Terms govern your use of the website and Services. By using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Continued use of the Platform constitutes your acceptance of any updated Terms.

2. Disclaimer

Wound Dock™ platform is for informational and educational purposes only. Listings of healthcare providers, educational content, or other information on the website do not constitute medical advice, diagnosis, or treatment. Users should always consult a licensed healthcare professional regarding their specific health needs. No provider-patient relationship is established through the platform; such relationships are formed solely through independent arrangements directly between a patient and a licensed healthcare provider. Wound Dock™ is not responsible for the professional services, decisions, or actions of any listed providers.

3. Platform Neutrality and Fee Structure

Wound Dock™ operates as a neutral technology and marketing platform. Providers pay fees to access platform functionality, marketing features, enhanced profiles, scheduling tools, and administrative services. Provider fees are fixed, predetermined, and unrelated to the volume or value of patient referrals, appointments, or services provided. Wound Dock™ does not recommend, direct, or steer patients to any specific provider, nor does it influence clinical decision-making, treatment selection, or patient outcomes. Participation in Wound Dock™ is voluntary, and patients retain full discretion in selecting providers. The platform does not guarantee patient volume, revenue, or clinical outcomes. Nothing in these Terms is intended to create or imply any referral arrangement, inducement, or other relationship that could violate federal or state healthcare laws, including the Anti-Kickback Statute, Stark Law, or comparable statutes.

4. No Control Over Clinical Care

All healthcare services provided by listed providers are delivered independently by licensed professionals in accordance with applicable laws, professional standards, and their own clinical judgment. Wound Dock™ does not control pricing, billing, collections, or compensation structures for any provider’s services, and it does not participate in patient care decisions.

5. Marketing, Listings, and Advertising

Provider profiles, enhanced listings, placement options, and platform features are marketing and advertising services only. Paid visibility or profile enhancements do not imply clinical quality, medical superiority, or patient outcomes. The platform’s role is limited to promoting providers’ practices and facilitating patient-provider discovery, not to evaluate or endorse clinical services.

6. Use Restrictions

You agree to use the Services only for lawful purposes and in compliance with these Terms. You may not access the platform for commercial purposes unrelated to your account type, collect or misuse personal data, disrupt platform functionality, or engage in harassment or abuse of other users. Any unauthorized use may result in termination of access and potential legal action.

7. Links to Third-Party Sites

The platform may provide links to third-party websites, software, or content (“Third-Party Sites”). These links are provided for convenience and do not constitute endorsement. Wound Dock™ is not responsible for the content, accuracy, reliability, legality, or privacy practices of Third-Party Sites. Use of such sites is at your own risk, and our Terms and Privacy Policy do not apply once you leave the platform.

8. Intellectual Property

All intellectual property rights on the Platform, including trademarks, logos, text, graphics, and software, are owned by or licensed to Ice Cold Medical LLC, which operates Wound Dock™.  Users may not copy, modify, distribute, or create derivative works without express written permission from Ice Cold Medical LLC. All rights not expressly granted are reserved.

9. Communications

By using the platform, you consent to receive electronic communications from Wound Dock™, including service updates, administrative notices, and promotional materials. You may opt out of promotional communications at any time by following the instructions in the message or contacting us, though critical administrative messages may still be sent.

10. Limitation of Liability

To the fullest extent permitted by law, Ice Cold Medical LLC, which operates Wound Dock™, and its affiliates, officers, and partners are not liable for any direct, indirect, incidental, consequential, exemplary, or punitive damages arising from use of the Platform, reliance on provider listings, or interactions with providers. This includes, but is not limited to, financial losses, medical outcomes, or any harm resulting from access to or use of the Services. Some jurisdictions do not allow the exclusion or limitation of certain damages; if so, those limitations may not apply to you.

11. Provider Specific Terms

If you are a healthcare provider or are registering on behalf of a healthcare practice, your use of the Platform is also governed by the Provider Addendum, which is incorporated into these Terms of Use by reference. In the event of a conflict, the Provider Addendum controls with respect to provider use of the Platform.

12. Modifications

Wound Dock™ may revise these Terms at any time. Updates will be posted on the website with the effective date. Continued use of the platform indicates acceptance of the revised Terms. Any changes not posted or agreed to in writing by a Wound Dock™ officer are not valid.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform will be resolved in
the applicable state or federal courts.

14. Enforcement and Termination

Ice Cold Medical LLC, which operates Wound Dock™, reserves the right to investigate and take appropriate action against any user who violates these Terms, including suspension or termination of access. By using the Platform, you acknowledge that Ice Cold Medical LLC is not responsible for any damages resulting from enforcement actions or violations of these Terms by other users.
